Terms & Conditions

Effective date: 15 October 2026.

Terms & Conditions

These terms govern your use of the website nextgenpuredata.com.au and the engagement of Nextgen Pure Data Pty Ltd ("we", "us", "our"), an Australian company registered in Victoria, with its office at Level 7/607 Bourke Street, Melbourne VIC 3000. By accessing this site, submitting an enquiry, or accepting a quote from us, you agree to these terms. If you do not agree, do not use the site or engage us. Capitalised terms used but not defined here have the meaning given to them in the engagement letter or quote that applies to your work with us.

1. Nature of our services

We provide data processing, technical and information services. These include the cleansing, validation, normalisation, structuring and reconciliation of market data; the analysis of historical market data; advice on data workflows and architecture; and the building of custom dashboards, periodic data reports and visualisations. Our clients are institutional investment teams, research teams, risk and operations teams, and business clients who need a clean, documented dataset to work from.

We are not a licensed financial services provider under the Corporations Act 2001 (Cth). We do not hold an Australian Financial Services Licence, we do not manage client funds, we do not open or operate client accounts, and we do not provide personal financial product advice or investment recommendations. Any dataset, statistic, chart, brief or dashboard we deliver is an information input only. It is not a recommendation to buy, sell or hold any security, fund, derivative or other financial product.

2. No investment advice; no forecasts

Nothing on this website, in any sample or excerpt, in any insight note, or in any deliverable we produce should be construed as a recommendation to buy, sell or hold any financial product, as a forecast of future prices, as a target price, or as a statement that any investment is suitable for a particular person. The historical data we process and the charts we produce describe what has happened; they do not predict what will happen. Investment and allocation decisions must be made by you, in consultation with your own licensed financial adviser, and on the basis of advice appropriate to your circumstances. We expressly disclaim liability for decisions you make on the basis of our deliverables.

3. Client data ownership and licence

All datasets, files, positions, model outputs and business records that you provide to us remain your property. We process them only for the purpose of the engagement you have commissioned. We do not acquire any ownership interest in your data. We do not copy your data into products we resell to others, and we do not disclose your data to other clients except where the engagement explicitly requires a benchmarking or comparative exercise agreed in writing.

Deliverables we produce for you are licensed to your organisation for its internal business use under the engagement letter. The licence covers use of the dataset, dashboard or report within your team and, where stated, within your permitted downstream recipients. It does not extend to commercial resale, to redistribution to the public, or to embedding the deliverable in a product sold to third parties without a separate agreement.

4. Source data and accuracy

Market data originates from third parties: exchanges, data vendors, central banks, statistical agencies and other publishers. We apply documented cleansing, validation and normalisation rules to that data, and we record those rules in the deliverable. We exercise reasonable care, but we cannot warrant that any dataset is complete, current or error-free. Vendors sometimes revise historical figures, publish corrections, or redefine series; where we detect such changes we update the affected series, but we are not responsible for errors that originate upstream.

You are responsible for verifying any deliverable before you rely on it for a decision, and for satisfying yourself that the data is fit for your particular purpose. We are not liable for indirect, incidental or consequential loss (including lost profits or loss of business opportunity) arising from your use of a deliverable, except to the extent that liability cannot be excluded or limited under Australian law, including under the Australian Consumer Law.

5. Intellectual property in this site

The text, layout, design, logos, charts and arrangement of this website are owned by Nextgen Pure Data Pty Ltd or used under licence. You may view the pages and print copies for your own reference, but you may not reproduce, republish, scrape, frame or systematically download the site's content for commercial use without our written permission. The logo and brand marks may not be used without our consent.

6. Confidentiality

We treat information you give us in the course of an engagement as confidential. We do not disclose it to third parties except as described in our Privacy Policy, or as required to deliver the work. Correspondence sent to us by email is not encrypted in transit by us, but we use reasonable measures to keep it confidential. You are equally responsible for keeping our deliverables confidential where they contain non-public information about your own operations.

7. Fees, invoicing and payment

Engagements are scoped in writing and quoted as a fixed fee or as a time-and-materials arrangement, as stated in the quote. Invoices are issued as agreed and are payable within the period stated on the invoice. We do not accept credit card payments for engagements and we do not hold funds in trust. Late payment may attract interest at a rate consistent with Australian commercial practice, and we may pause work on unpaid invoices.

8. Warranties and disclaimers

To the extent permitted by law, we provide the site and our services on an "as is" and "as available" basis. We do not warrant that the site will be uninterrupted, error-free, or free from harmful components. We do not warrant that our deliverables will meet every specific requirement you have beyond what is written in the engagement letter. The statutory guarantees that apply under the Australian Consumer Law are not excluded by these terms; nothing in these terms removes rights you have under mandatory consumer protection law.

9. Limitation of liability

To the fullest extent permitted by law, our total aggregate liability to you arising out of or in connection with an engagement is limited to the amount you paid us for the deliverable that gave rise to the claim. We are not liable for any loss of profits, loss of data, loss of business, or indirect or consequential loss. This limitation does not apply to liability that cannot be limited under law, including liability for fraud or for non-excludable consumer guarantees.

10. Indemnity

You agree to indemnify and hold us harmless from claims, losses and expenses arising out of (a) your use of a deliverable in a way that goes beyond the licence we granted, (b) your provision of data that infringes a third party's rights, or (c) your decision to act on, or distribute, our output without obtaining the independent professional advice appropriate to the decision.

11. Term and termination

These terms apply for as long as you use the site and for the duration of any engagement. Either party may end an engagement on written notice in line with the engagement letter. On termination, we will deliver work completed to date and invoice for that work; you will pay undisputed amounts due. Sections that by their nature survive termination (including ownership of client data, confidentiality, limitation of liability and governing law) continue to apply.

12. Governing law and jurisdiction

These terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and, where applicable, the federal courts exercising jurisdiction in Victoria. If any provision of these terms is found to be unenforceable, the remaining provisions continue in force.

13. Changes to these terms

We may update these terms from time to time. The effective date at the top of this page shows when the current version took effect. The version on the site at the time you use it is the version that applies. Material changes will be noted on this page.

14. Contact

Questions about these terms, or about an engagement, may be directed to contact@nextgenpuredata.com.au, by phone on 03 8518 3315, or by post to Nextgen Pure Data Pty Ltd, Level 7/607 Bourke Street, Melbourne VIC 3000, Australia.
